Forth Valley Orienteers

Club Constitution

1. TITLE: The club shall be called FORTH VALLEY ORIENTEERS.

2. OBJECTS: The club shall be devoted to the promotion and development of orienteering, within the Forth Valley area, and according to the rules and objects of British Orienteering Federation (BOF).

3. MEMBERSHIP: Membership shall be open to anyone who participates in or is interested in orienteering.
Membership categories are listed on the FVO website (www.fvo.org.uk). Memberships grades are:

  • Senior – any member aged 21 or older on 31 December of the membership year
  • Junior – any member aged 20 or younger on 31 December of the membership year
  • Family Membership applies to spouses or parents/guardians and juniors sharing the same permanent address.

Membership is open to all and no application for membership will be refused on other than reasonable grounds. There will be no discrimination on grounds of age, disability, gender reassignment, marriage and civil partnerships, pregnancy and maternity, race, religion or belief, sex, sexual orientation, political or other option.

4. COMMITTEE: A committee shall be elected at the Annual General Meeting of the club to manage the business of the club.
The committee shall normally consist of seven voting members: President, Vice-President, Secretary, Treasurer and three general members.
Where votes on each side are equal, the President shall have a casting (additional) vote at both Committee meetings and AGM/EGM.
If there is a vacancy on the Committee during the year, the Committee can fill that vacancy from the membership as they see fit.
The Committee shall have the power to co-opt members for specific purposes. Co-opted members shall not have voting powers.

5. ANNUAL GENERAL MEETING AND EXTRAORDINARY GENERAL MEETINGS:
The Annual General Meeting will be held before the end of February. For both AGMs and EGMs, at least 14 days prior notice shall be given.

6. FINANCE: The financial year of the club shall be from 1st January to 31st December. The Treasurer shall be responsible for presenting independently reviewed accounts to the AGM. No portion of the income and property shall be paid or transferred directly or indirectly by way of dividend, distribution, bonus, Honoraria or otherwise howsoever by way of profit to the members.

7. MEMBERSHIP FEES: These shall be fixed annually at the AGM for the forthcoming year starting 1st January.

8. RESPONSIBILITY: Members shall be jointly responsible for any deficit in the finances. The Committee are solely responsible as individuals for all club liabilities.

9. CLUB PROTECTION/SAFEGUARDING STATEMENT: The Club’s Protection and Safeguarding Policies can be found on the website.

10. ALTERATIONS TO THE CONSTITUTION: These shall be made at the AGM or at an Extraordinary General Meeting, which may be called by the president or by one third of the membership of the club. Amendments to the constitution shall be lodged with the secretary at least 21 days prior to the AGM or EGM at which they are to be considered and shall be included in the agenda and notice of the meeting.

11. QUORUM: A quorum at the AGM or EGM shall be the majority of those in attendance who are eligible to vote, subject to a minimum eligible attendance of the lesser of 20 members or 25% of the total paid-up membership.
All paid up members are eligible to vote at AGM or EGM with each individual membership counting as one vote.

12. DISSOLUTION: In the event of the dissolution of the club, no funds shall be disbursed to members but shall be used for the objects set above as directed by the Executive of the Scottish Orienteering Association.
